The office of the Official Liquidator, High Court, Madras is attached to and works under the close supervision and control of the Company Court, High Court, Madras and is also an integral part of the Ministry of Corporate Affairs and handles the winding up process of companies registered in Tamil Nadu and Pondicherry as mandated by the Companies Act, 1956.

The High Court of Judicature at Madras, one of the three High Courts in India established at the Presidency Towns by Letters Patent granted by Her Majesty Queen Victoria, bearing date 26th June 1862, is the highest Court in the State of Tamil Nadu, exercising Original Jurisdiction over the City of Madras and Appellate Jurisdiction over the entire State as well as extra-ordinary Original Jurisdiction, Civil and Criminal, under the Letters Patent and Special Original Jurisdiction for the issue of writs under the Constitution of India. The Hon’ble High Court, Madras is headed by The Chief Justice who is the Head of the Judiciary with powers of administration of the High Court and of the Administration of Justice throughout the State and Corporate Law being an important realm in India's inclusive growth, the portfolio is assigned to a senior judge of the Hon'ble High Court,Madras who is a source of inspiration and guiding light for our office in ensuring that we meet our obligation to the stakeholders expeditiously.

The winding up process includes taking possession of the assets of a company ordered to be wound up, bringing the assets of the company to sale via public auction, recovery of debts due to the company, invitation of claims against the company, settlement of claims so received, distribution of funds to the creditors and contributories, prosecution of directors of the company in the event of misfeasance and eventual dissolution of the company.
